Terms of Service
These are the rules that govern your use of NileOS. We've written them in plain language wherever possible. Please read them — they matter.
Acceptance of terms
By creating a NileOS account, subscribing to a plan, or using any part of the NileOS platform at https://nile-os.com, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the service. These terms apply to all users — hotel account owners, staff members (waiters, kitchen staff), and guests using the customer-facing ordering interface.
What NileOS is
NileOS is a cloud-based hotel and restaurant operating system. It provides QR-based table ordering, a kitchen display system, staff management, subscription billing, and AI-powered analytics. The platform is built and operated by TOA Software Group and is currently intended for businesses operating in Ethiopia. Prices are denominated in Ethiopian Birr (ETB). Payment is processed through Chapa, a licensed Ethiopian payment service provider.
Accounts and eligibility
Who can register
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of the business you are registering. By registering a hotel account, you represent that the business you are onboarding is legally operating and that you have the authority to bind that business to these terms.
Account responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify us at the contact details below if you suspect unauthorized access. NileOS is not liable for any loss resulting from unauthorized use of your account where that use results from your failure to keep credentials secure.
One account per business
Each hotel or restaurant business may have one NileOS hotel account. Staff members (waiters, kitchen staff) operate under the hotel account and do not have separate billing relationships with NileOS.
Accurate information
You agree to provide accurate, complete, and current information when registering and to keep that information updated. Registering with false information, impersonating another business, or creating accounts for competitors in bad faith is grounds for immediate termination.
Subscriptions and billing
Plans and pricing
NileOS offers tiered subscription plans (Level 1, 2, and 3) billed monthly in ETB. Current plan prices, feature inclusions, table limits, and staff limits are displayed on the Pricing section of the website and within the platform. We reserve the right to change prices with 30 days' notice to active subscribers.
Billing cycle
Subscriptions are billed monthly. Your subscription activates immediately upon successful payment confirmation from Chapa and expires 30 days later. There is no automatic renewal — you must manually subscribe again to continue using paid features after expiry.
Discount codes
Discount codes reduce the price of a single subscription cycle. They have usage limits and expiry dates. A discount code valid for a specific plan cannot be applied to a different plan. Discount codes cannot be combined.
Refunds
Due to the nature of subscription software, we do not offer refunds for subscription periods already paid. If you believe a payment was made in error or if there is a technical failure that prevented access to the service for a material portion of your subscription period, contact us within 7 days and we will review on a case-by-case basis.
Upgrading and downgrading
You may subscribe to a new plan at any time. Subscribing to a new plan while an active subscription exists will cancel the current plan and replace it. No proration or credit is given for the unused portion of the previous plan.
Plan limits
Your subscription plan includes a maximum number of tables and staff members. Adding tables or staff beyond your plan's limit is not permitted. If your usage approaches plan limits, the platform will display warnings. Attempting to circumvent plan limits through technical means is a violation of these terms.
Acceptable use
Permitted use
NileOS is licensed to you for lawful use in operating a genuine hospitality business — a hotel, restaurant, café, or resort. You may use the platform to manage orders, staff, menus, tables, and subscriptions in the ordinary course of running that business.
Prohibited conduct
You must not: (a) use NileOS for any purpose that is illegal under Ethiopian or applicable international law; (b) attempt to reverse-engineer, decompile, or extract source code from the platform; (c) use automated tools, bots, or scripts to scrape data from the platform; (d) resell, sublicense, or white-label the platform without written permission; (e) submit false, misleading, or malicious data; (f) attempt to circumvent authentication, rate limiting, or access controls; (g) use the platform to store or transmit malicious code; or (h) harass, harm, or impersonate any person.
Content you create
Menu items, business names, logos, and other content you upload to NileOS remain your property. You grant NileOS a limited, non-exclusive license to store, display, and serve that content to your authorized staff and customers solely for the purpose of operating the service for you. You are responsible for ensuring that content you upload does not infringe any third-party intellectual property rights.
Service availability
Uptime
We aim to keep NileOS available 24 hours a day, 7 days a week, but we do not guarantee any specific uptime percentage. The service may be temporarily unavailable due to maintenance, infrastructure issues, or circumstances beyond our control.
Maintenance
We may perform scheduled maintenance that temporarily interrupts service. Where possible, we will announce planned downtime in advance via email or in-app notification.
Changes to features
We may add, modify, or remove features at any time. If we remove a feature that is material to your plan, we will notify you at least 14 days in advance.
Your data
Your business data — menus, orders, staff records, tables, and analytics — belongs to you. NileOS acts as a data processor on your behalf. We do not claim ownership of your data, and we do not use your operational data for any purpose other than running the service for you. Termination
By you
You may delete your hotel account at any time from the Settings page in the dashboard. Deletion is permanent and removes all operational data. Payment transaction records are retained as required by law.
By NileOS
We reserve the right to suspend or terminate your account immediately if you: violate these Terms of Service; engage in fraudulent activity; use the platform to harm other users; or fail to pay for a subscription after a payment dispute is resolved against you. For non-urgent violations, we will attempt to notify you and give you an opportunity to remedy the issue before termination.
Effect of termination
Upon termination, your right to access the platform ceases immediately. Operational data will be deleted within 30 days per our Privacy Policy. Termination does not entitle you to a refund of any subscription fees already paid.
Limitation of liability
Disclaimer of warranties
NileOS is provided "as is" and "as available." We make no warranty, express or implied, that the service will be error-free, uninterrupted, secure, or fit for any particular purpose. We do not warrant the accuracy of AI-generated analytics insights.
Limitation of damages
To the maximum extent permitted by Ethiopian law, TOA Software Group's total liability to you for any claim arising out of or related to these terms or the service is limited to the total subscription fees you paid in the 3 months preceding the event giving rise to the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption.
Indemnification
You agree to indemnify and hold harmless TOA Software Group, its officers, employees, and contractors from any claims, losses, or damages (including legal fees) arising from your use of the platform in violation of these terms, your content, or your violation of any third-party rights.
Governing law and disputes
These Terms of Service are governed by the laws of the Federal Democratic Republic of Ethiopia. Any dispute arising out of or in connection with these terms that cannot be resolved through good-faith negotiation shall be submitted to the competent courts in Addis Ababa, Ethiopia. Before initiating any formal legal proceedings, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.
Changes to these terms
We may update these Terms of Service as the product and legal requirements evolve. When we make material changes, we will notify all registered hotel account owners by email and update the "Last updated" date at the top of this page at least 14 days before the new terms take effect. Continued use of the service after the effective date constitutes acceptance of the updated terms. If you do not agree to the updated terms, you must stop using the service and may delete your account.
